5. Client Engagements & Project Terms
5.1 Proposals & Briefs
All projects begin with a formal brief and written proposal or scope of work. Verbal discussions, presentations, or casual communications do not constitute a binding project commitment. Work commences only upon written approval of the proposal and receipt of the agreed advance payment.
5.2 Revisions & Approvals
Each project includes a defined number of revision rounds as stated in the proposal. Additional revisions or scope changes beyond the agreed brief will be subject to separate charges. Client approvals at each stage are required in writing before the project proceeds to the next phase. Delays in providing approvals may impact delivery timelines.
5.3 Client Responsibilities
- Provide accurate, complete, and timely brand briefs, reference materials, and feedback.
- Ensure all content, images, and assets shared with TAD are legally owned or licensed by the client.
- Designate an authorised point of contact for approvals and communications.
- Not engage in simultaneous parallel engagements with competing agencies for the same project without disclosure.
5.4 Confidentiality
Both parties agree to maintain strict confidentiality regarding each other's proprietary information, project details, creative strategies, and business data. TAD will not share your brand briefs or creative work with third parties without your consent, except as required to execute the project with authorised vendors.
6. Payments & Invoicing
- All fees are as stated in the approved proposal and are exclusive of applicable GST and other statutory levies.
- A non-refundable advance payment (as agreed in the proposal) is required before project commencement.
- Subsequent payments are due as per the payment schedule outlined in the proposal.
- Delayed payments beyond the due date may result in work being paused until dues are cleared.
- TAD reserves the right to withhold final deliverables until complete payment is received.
- All payments must be made to TAD Global Branding's official bank account as communicated in the invoice.
7. Intellectual Property & Deliverable Ownership
Upon receipt of full and final payment for a project, ownership of the final approved creative deliverables transfers to the client. TAD Global Branding retains the right to showcase the completed work in our portfolio, case studies, award submissions, and marketing materials, unless the client requests confidentiality in writing at the time of engagement.
All preliminary concepts, mood boards, creative explorations, and rejected design directions remain the intellectual property of TAD Global Branding and may not be used by the client without separate written agreement and additional payment.
8. Media, PR & Third-Party Placements
For Media and PR engagements, TAD Global Branding will coordinate with media houses, publications, celebrities, or digital platforms based on agreed campaign objectives. Placements are subject to third-party availability, editorial decisions, and publishing timelines - factors beyond TAD's direct control. We will make best-effort endeavours to achieve the agreed media plan, but cannot guarantee specific placement outcomes.
Client approval is required before any press releases, campaign materials, or spokesperson content is published or broadcast.
9. Limitation of Liability & Disclaimers
TAD Global Branding shall not be liable for any indirect, incidental, or consequential damages arising from delays caused by client-side approvals, third-party vendor failures, force majeure events, or circumstances beyond our control. Our total aggregate liability for any project-related claim shall not exceed the fees paid by the client for the specific project giving rise to the claim.
Website content, portfolio images, and case studies on www.tadglobal.in are provided for reference and inspiration only. Results achieved for past clients do not constitute a guarantee of identical or similar outcomes for future engagements.
10. Force Majeure
TAD Global Branding shall not be held responsible for delays or non-performance of obligations caused by events beyond our reasonable control, including natural disasters, government orders, technology outages, civil unrest, strikes, or epidemic/pandemic situations. We will communicate any such delays promptly and work with you to reschedule affected deliverables at the earliest opportunity.
11. Termination of Engagement
Either party may terminate an ongoing project engagement by providing 30 days' written notice. In the event of termination by the client, all work completed up to the date of termination will be invoiced and payable. Any advance paid is non-refundable unless otherwise stated in the specific project agreement.
TAD reserves the right to immediately terminate an engagement if the client engages in fraudulent, abusive, or unlawful conduct.
